1. Acceptance of Terms

By accessing or using Prospectr ("Service") at prospectr.pro, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Prospectr is a SaaS platform that helps web designers and freelancers identify local businesses with poor online presence, build website previews, and manage outreach pipelines. Features include lead search, site analysis, AI-assisted website generation, CRM pipeline management, and email outreach tools.

3. Accounts

• You must be at least 16 years old to create an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activities that occur under your account.
• You must provide accurate and complete information during registration.
• We reserve the right to terminate accounts that violate these Terms.

4. Subscriptions and Billing

• Paid plans are billed monthly or annually in advance via Stripe.
• A non-refundable setup fee or down payment may apply for certain plans or features.
• Subscriptions automatically renew unless cancelled before the renewal date.
• You may cancel your subscription at any time from your account settings; access continues until the end of the current billing period.
• We reserve the right to modify pricing with 30 days' notice.
• All fees are exclusive of applicable taxes, which may be added at checkout.

5. Refund Policy

We offer a 30-day money-back guarantee on monthly subscriptions for first-time subscribers. Refund requests must be submitted to support@prospectr.pro within 30 days of the initial charge. Setup fees / down payments are non-refundable. Annual plan refunds are evaluated case by case.

6. Acceptable Use

You agree not to use Prospectr to:

• Send unsolicited bulk email (spam) or engage in deceptive outreach practices.
• Scrape, copy, or redistribute data from the Service for competing products.
• Attempt to gain unauthorised access to other accounts or our infrastructure.
• Violate any applicable law, regulation, or third-party rights.
• Upload malicious code or interfere with the Service's operation.
• Misrepresent your affiliation with any business or person.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

7. Intellectual Property

All content, design, code, and materials on prospectr.pro are owned by Prospectr and protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your own business purposes. You may not copy, modify, distribute, sell, or lease any part of the Service.

You retain ownership of any content you create using the Service (e.g., website previews, exported HTML). By using the Service, you grant us a limited license to store and display your content solely to provide the Service.

8. Third-Party Services

Prospectr integrates with third-party services including Google Places API, Pexels, Stripe, Resend, and Supabase. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the availability or accuracy of data provided by third parties.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. USE OF THE SERVICE IS AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSPECTR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Prospectr, its affiliates, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in court for intellectual property violations.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
